1. About ISO READY 360

ISO READY 360 is a sole-trader business operated by Rounak Maheshwari, providing ISO 27001:2022 Notion templates and information-security consulting services. Our website is isoready360.com and products are sold via our Gumroad store. For all enquiries, contact us at support@isoready360.com.

2. Acceptance of Terms

By accessing or using isoready360.com, purchasing any product, or engaging our consulting services, you confirm that you:

• Are at least 18 years of age, or are acting on behalf of a business with appropriate authority
• Have read, understood, and agree to be bound by these Terms of Service
• Agree to our Privacy Policy, which is incorporated into these terms by reference

If you are purchasing or engaging on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms.

3. Digital Products: Notion Templates

3.1 Product description

Our products are pre-built Notion templates designed to support ISO 27001:2022 implementation. Templates are delivered as digital files. We do not ship physical products. All product descriptions and previews are provided on our website and Gumroad product pages for your reference before purchase.

3.2 Licence grant

Upon completing a purchase, ISO READY 360 grants you a non-exclusive, non-transferable, single-organisation licence to use the purchased template(s). This licence permits you to:

• Use and customise the templates for internal purposes within your single organisation
• Share the templates internally with employees, contractors, or consultants working directly for your organisation
• Modify the content and adapt the templates to suit your organisation's needs

3.3 Licence restrictions

You may not, under any circumstances:

• Resell, sublicence, redistribute, or share the templates externally, including publicly, to clients, or to any third-party organisation
• Use the templates to create competing products, template packs, or resources for commercial distribution
• Remove, obscure, or modify any branding or attribution included within the templates
• Use the templates in a manner that violates applicable laws or regulations
• Transfer the licence to another individual or organisation without our written consent

4. Digital Product Delivery

All templates are delivered digitally via Gumroad immediately upon successful payment. After your purchase is complete, you will receive:

• A confirmation email from Gumroad containing your download link or Notion template access link
• Access to any supplementary files included with the product

We do not ship physical goods. If you experience any issues accessing your purchase, please contact us at support@isoready360.com and we will assist you promptly.

5. Refund Policy

5.1 Digital templates — general policy

Due to the instant and irrevocable nature of digital product delivery, all sales of Notion templates are final. We do not offer refunds on digital products once access has been granted, unless required by applicable consumer protection law.

5.2 Consulting tier bundle exception

If you purchase a consulting package (Tier 1 or Tier 3) that includes template(s) as part of the bundle, and you subsequently decide not to proceed with the consulting engagement before work has commenced, we will refund the value attributable to the templates included in that bundle. The consulting service fee itself is non-refundable once a kick-off call has taken place or work has begun.

5.3 Technical issues

If you are unable to access a purchased product due to a technical fault on our end, we will make reasonable efforts to resolve the issue or provide a replacement. If we cannot resolve the issue within 7 business days, a full refund will be issued. Please report technical access issues to support@isoready360.com within 30 days of purchase.

6. Consulting Services

6.1 Separate service agreement

Consulting engagements are governed by a separate Statement of Work or Service Agreement, which will be provided and agreed upon before work commences. In the event of any conflict between these Terms of Service and a specific Service Agreement, the Service Agreement shall take precedence for the matters it covers.

6.2 Payment terms

Payment for consulting services is due upfront, in full or according to the milestone schedule specified in the Service Agreement, before work begins or before each phase commences. We reserve the right to pause or discontinue work if payment is not received by the agreed due date.

6.3 Delivery format

Consulting sessions are conducted remotely via Google Meet video calls, unless otherwise agreed in writing. All sessions will be scheduled using our Cal.com booking system. You are responsible for ensuring you have a stable internet connection and access to Google Meet at the time of the appointment.

6.4 Deliverables and intellectual property

All bespoke deliverables created specifically for your organisation as part of a consulting engagement (such as customised policies, procedures, or risk assessments) will transfer to you upon receipt of full payment. Until full payment has been received, ISO READY 360 retains all intellectual property rights in any deliverables produced.

Deliverables do not include our proprietary templates, frameworks, methodologies, or reusable intellectual property that existed prior to the engagement. Any ISO READY 360 templates incorporated into deliverables are licensed to you under the terms set out in Section 3, not assigned.

6.5 Cancellations and rescheduling

If you need to cancel or reschedule a booked session, please provide at least 48 hours' notice via email to support@isoready360.com. Sessions cancelled with less than 24 hours' notice may be forfeited. We will make reasonable efforts to accommodate rescheduling requests.

8. Intellectual Property

All content on isoready360.com and all ISO READY 360 products — including but not limited to templates, written content, designs, graphics, logos, methodologies, and course materials — are the intellectual property of ISO READY 360 (Rounak Maheshwari) and are protected by copyright and other applicable intellectual property laws.

Purchasing a template grants you a licence to use it as described in Section 3. It does not transfer any ownership rights. Unauthorised reproduction, redistribution, modification for commercial purposes, or use outside the scope of the granted licence is strictly prohibited and may result in legal action.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

• ISO READY 360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or services, including loss of profits, loss of data, or business interruption
• Our total aggregate liability to you for any claim arising out of or in connection with these terms or your use of our products and services shall not exceed the total amount you paid to ISO READY 360 in the 12 months preceding the claim

Nothing in these terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ISO READY 360 and Rounak Maheshwari from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of our products or services; (b) your violation of these Terms of Service; (c) your infringement of any third-party rights; or (d) any content you submit, post, or transmit through our website.

11. Warranties and Disclaimers

Our products and services are provided "as is" and "as available". While we take care to ensure the quality and accuracy of our templates and consulting advice, we make no representations or warranties of any kind, express or implied, including but not limited to:

• That our products will be free of errors or suitable for your specific purposes
• That the templates will be up to date with any future changes to the ISO 27001 standard
• That our consulting advice constitutes legal, regulatory, or professional compliance advice

You are responsible for independently verifying that our products and services meet your specific organisational requirements before relying on them for compliance purposes.

12. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. For customers based in EU member states, mandatory consumer protection provisions of your country of residence continue to apply. Both parties submit to the non-exclusive jurisdiction of the courts of England and Wales, provided that if you are a consumer in an EU member state, you may also bring proceedings in your local courts.

13. Dispute Resolution

In the event of any dispute or disagreement arising out of or relating to these Terms of Service, you agree to first contact us in good faith at support@isoready360.com and attempt to resolve the matter informally. We will make reasonable efforts to address your concern promptly and fairly. If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal remedies. EU consumers may also have access to online dispute resolution via the European Commission's ODR platform at ec.europa.eu/consumers/odr.

14. Amendments to These Terms

We reserve the right to update or modify these Terms of Service at any time. When we make changes, we will update the "Last updated" date at the top of this page and post the revised terms on isoready360.com. For material changes, we will endeavour to notify customers by email where we hold contact details. Your continued use of our website or services after updated terms have been posted constitutes your acceptance of those changes. We encourage you to review these terms periodically.

15. Severability

If any provision of these Terms of Service is found to be unlawful, void, or unenforceable, that provision shall be severed from the remaining terms, which shall continue in full force and effect. The severed provision will be replaced by an enforceable provision that most closely reflects the intent of the original.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable Service Agreement for consulting engagements, constitute the entire agreement between you and ISO READY 360 with respect to your use of our website, products, and services. They supersede all prior discussions, negotiations, and agreements on the same subject matter.
